1. Parties and definitions1. 当事者と定義

“We” means UndergradPrep (sole proprietor: Alex Ryu Kobayashi), operating Undergrad Prep. “You” means the parent or guardian who contracts with us, and “the student” means the person receiving the service. A student aged 18 or over may contract directly. “Tutor” includes academic tutors and application mentors. Alex is currently the sole tutor and mentor. Any additional tutors engaged in the future will be independent contractors.「当社」とはUndergradPrep（個人事業主 小林アレックス龍）をいい、Undergrad Prepを運営します。「お客様」とは当社と契約する保護者をいい、「生徒」とはサービスを受ける方をいいます。18歳以上の生徒は本人が直接契約できます。「講師」には科目講師と出願メンターを含みます。現在の講師・メンターはアレックス1名です。今後ほかの講師に業務を委託する場合、その講師は独立した契約者となります。

2. What we provide2. サービスの内容

One-to-one online academic tutoring and application mentoring delivered over Google Meet by Alex Kudo, a 2026 IB Diploma graduate. Application mentoring is guidance based on the mentor’s recent first-hand experience. It is not professional admissions counseling, legal advice or a guarantee of any outcome.2026年にIBディプロマを取得したアレックス・クドウによる、Google Meetを通じたオンラインの一対一の科目指導と出願メンタリングを提供します。出願メンタリングは、メンターの最近の直接の経験に基づく助言であり、専門の入試カウンセリング、法的助言、または結果の保証ではありません。

3. How a contract is formed3. 契約の成立

A contract is formed when we confirm a booking by email after the free diagnostic session and, for paid services, when payment is received or an invoice is accepted in writing. Package terms (number of sessions, validity period, essay scope) are stated on the invoice and in the written plan.契約は、無料診断セッションの後に当社がメールで予約を確認した時点で成立し、有料サービスについては支払いの受領または請求書への書面での承諾をもって成立します。パッケージの条件（回数、有効期限、エッセイの範囲）は請求書と書面の計画に記載します。

4. Fees and payment4. 料金と支払い

Fees are those stated in writing at the free diagnostic session and on the invoice for each booking, inclusive of consumption tax. Payment is by bank transfer, due within 7 days of the invoice and before the first paid session of the service or package. Prices may change only with at least 30 days’ notice; sessions already paid for are not affected.料金は無料診断セッションの際に書面でご案内し、各予約の請求書に記載するもので、消費税を含みます。支払いは銀行振込とし、請求書発行後7日以内、かつサービスまたはパッケージの初回有料セッション前にお支払いください。料金の変更は30日以上前の通知をもって行い、支払い済みのセッションには影響しません。

6. Academic integrity6. 学業上の誠実さ

Tutors explain, ask questions and give feedback. They do not write application essays, personal statements or assessed coursework, produce analysis for submission, invent activities or achievements, or sit examinations. All submitted work is the student's own. A request that a tutor breach this section may be refused and, if repeated, may end the engagement without refund of sessions already delivered.講師は説明し、問いかけ、フィードバックを返します。出願エッセイ、志望理由書、評価対象の課題を書くこと、提出用の分析を作成すること、活動や実績をでっち上げること、試験を受けることはしません。提出する成果物はすべて生徒自身のものです。本条に反する依頼は拒否することがあり、繰り返された場合は、提供済みのセッションを返金することなく契約を終了することがあります。

7. The student's role and the parent's role7. 生徒と保護者の役割

The student agrees to the written plan and to practice set together with the tutor; the amount is adjusted collaboratively. The parent or guardian attends the free diagnostic session and the agreed checkpoints, consents to the collection of the student's information, and provides a suitable place and device for online sessions. Regular sessions are between tutor and student.生徒は書面の計画と、講師と一緒に決めた練習に同意します。量は協力して調整します。保護者は無料診断セッションと合意した節目の面談に参加し、生徒の情報の取得に同意し、オンラインセッションに適した場所と機器を用意します。通常のセッションは講師と生徒の間で行います。

8. Tutor changes and availability8. 講師の変更と対応可能時間

Either the student or the parent may request a change of tutor; we will discuss the available options with the family. Alex is currently the only tutor. If he becomes unavailable, including for examinations or holidays, we will pause the package without loss of sessions or offer a suitable covering tutor if one is available. If we cannot offer a suitable replacement within 14 days, unused sessions are refunded in full.生徒または保護者は講師の変更を申し出ることができ、当社はご家族と対応可能な選択肢について相談します。現在の講師はアレックスのみです。試験や休暇などで対応できなくなった場合、回数を失うことなくパッケージを一時停止するか、適切な代替講師がいる場合はその講師を提案します。14日以内に適切な代替講師を提案できない場合、未使用のセッションを全額返金します。

9. Conduct and communication9. 行動と連絡

Sessions take place on the agreed platform. Messages between tutor and student go only through channels the family has agreed to. Students in grade 9 or above may use their own LINE account with parental approval; younger students use a parent’s LINE account or email. Tutors do not contact students through personal social-media accounts. Any additional tutor engaged must sign a code of conduct covering professional boundaries, confidentiality and punctuality. Concerns should be emailed to contact@undergradprep.education. Abusive or discriminatory behaviour by any party may end the engagement.セッションは合意したプラットフォームで行います。講師と生徒のやり取りはご家族が同意した手段に限ります。9年生以上の生徒は保護者の了承のもと生徒本人のLINEを、それより下の学年は保護者のLINEまたはメールを使います。講師は個人のSNSアカウントで生徒に連絡しません。ほかの講師に業務を委託する場合、職業上の線引き、守秘義務、時間厳守を定めた行動規範への署名を求めます。懸念事項はcontact@undergradprep.educationにメールでお知らせください。いずれかの当事者による暴言や差別的な行為があった場合、契約を終了することがあります。

10. Recording10. 録画

Sessions are not recorded unless the family and the tutor agree in writing, with a stated retention period. Neither party may record without that agreement.セッションは、ご家族と講師が保存期間を明記して書面で合意した場合を除き録画しません。合意なくいずれの当事者も録画してはなりません。

11. Materials and intellectual property11. 資料と知的財産

Plans, notes and practice materials we prepare are for the student's personal use and may not be resold or shared publicly. The student's own essays and work remain the student's property.当社が作成する計画、記録、練習資料は生徒個人の利用のためのものであり、転売や公開共有はできません。生徒自身のエッセイや成果物は生徒の財産です。

12. No guarantee12. 保証の否定

We do not guarantee admission to any institution, any grade, score or scholarship, or any particular improvement. Universities and examination boards make their own decisions. Our obligation is to deliver the sessions and materials described in the plan with reasonable care.当社は、いかなる教育機関への合格、成績、点数、奨学金、または特定の向上を保証しません。大学や試験機関は独自に判断します。当社の義務は、計画に記載したセッションと資料を相当の注意をもって提供することです。

13. Liability13. 責任の範囲

To the extent permitted by law, our liability for any claim relating to the service is limited to the fees paid for the sessions concerned. This does not limit liability for wilful misconduct or gross negligence, or any liability that cannot be limited under the Consumer Contract Act.法令の許す範囲で、サービスに関するいかなる請求についても、当社の責任は当該セッションに対して支払われた料金を上限とします。故意または重過失による責任、および消費者契約法上制限できない責任はこの限りではありません。

14. Termination14. 解約

You may end the service at any time by email; refunds follow the Cancellation and refunds policy. We may end the service for breach of sections 6 or 9, with refund of unused sessions except as stated in section 6.お客様はいつでもメールでサービスを終了できます。返金は「キャンセルと返金」の定めによります。当社は第6条または第9条の違反を理由にサービスを終了することがあり、その場合、第6条に定める場合を除き未使用分を返金します。

15. Governing law15. 準拠法と管轄

These terms are governed by the laws of Japan. Disputes are subject to the exclusive jurisdiction of the 本規約は日本法に準拠します。紛争についてはYokohama District Court横浜地方裁判所 in the first instance.を第一審の専属的合意管轄裁判所とします。
